Sun Life warns shareholders of Ocehan LLC's below-market mini-tender offer

Sun Life Financial Inc. (NYSE: SLF) has notified shareholders of an unsolicited mini-tender offer from Ocehan LLC to purchase up to 100,000 common shares of Sun Life at a price the company says is significantly below recent market prices.

According to a statement from Sun Life, the offer represents a discount of 24.95% to the closing price of Sun Life shares on the Toronto Stock Exchange on May 25, 2026, and a 24.38% discount to the NYSE closing price on May 22, 2026, the last trading day before the offer commenced.

Sun Life stated it has no association with Ocehan and does not recommend or endorse acceptance of the offer. Shareholders are not required to sell their shares to Ocehan.

Mini-tender offers are structured to avoid disclosure and procedural requirements that apply to most bids under Canadian and U.S. securities laws. Both the U.S. Securities and Exchange Commission and the Canadian Securities Administrators have previously expressed concerns about such offers. The SEC has noted that "bidders make mini-tender offers at below-market prices, hoping that they will catch investors off guard if the investors do not compare the offer price to the current market price."

Shareholders who have already tendered their shares may withdraw them within 21 days, in accordance with procedures outlined in Ocehan's offer documents, according to Sun Life.
