Jet.AI stockholders vote in favor of flyExclusive merger deal

A majority of Jet.AI Inc. (NASDAQ: JTAI) stockholders eligible to vote have cast ballots in favor of the company's proposed transaction with flyExclusive, Inc. (NYSE: FLYX), surpassing the threshold required for approval, according to a press release issued July 1, 2026.
The vote is not yet certified. The Special Meeting of Stockholders is scheduled to reconvene July 2, 2026 at 4:00 p.m. Eastern time, when polls will close and results will be formally certified. Stockholders may change or revoke a previously submitted proxy before that deadline.
Subject to final stockholder approval and other customary closing conditions, the transaction is expected to close on or about July 7, 2026. Stockholders of record as of the close of business on July 6, 2026 will receive merger consideration as described in the company's definitive proxy statement and prospectus.
The transaction is governed by an Amended and Restated Agreement and Plan of Merger and Reorganization dated May 6, 2025, among Jet.AI, flyExclusive, FlyX Merger Sub, Inc., and Jet.AI SpinCo, Inc. flyExclusive filed a Registration Statement on Form S-4, which was declared effective April 30, 2026. A definitive proxy statement and final prospectus were filed with the SEC on May 4, 2026.
