NewGenIVF issues 3.67 million shares tied to K25.ai acquisition

NewGenIVF Group Limited (NASDAQ: NIVF) announced that its total outstanding shares have reached 10,073,535 following share issuances connected to its acquisition of a 10% equity interest in K25.ai, an AI-powered live-streaming prediction market platform.

The company's market capitalization reached $7,631,710 on June 18, 2026. Management stated that this figure represents a discount to the company's reported net asset value of approximately $25.98 million as of December 31, 2025, a figure that does not yet reflect a subsequent $10 million investment in K25.ai.

A total of 3,666,667 new shares were issued in connection with the K25.ai share purchase agreements.

The company said it believes its current market capitalization exceeds Nasdaq's proposed minimum Market Value of Listed Securities threshold of $5 million, which the company cited as supporting its continued listing compliance.

"Exceeding US$7.6 million in share capitalization with over 10 million shares outstanding is a significant milestone for NewGen," said Alfred Siu Wing Fung, Founder, Chairman and Chief Executive Officer. "This valuation remains well below the Company's net asset value of approximately US$25.98 million as of December 31, 2025 — prior to the addition of the US$10 million K25.ai investment — highlighting the meaningful upside potential as we continue executing our strategy."

NewGen also said it has adopted a digital assets treasury strategy as part of a broader shift toward artificial intelligence, digital engagement, and prediction markets across APAC jurisdictions. The company operates segments in digital assets, real estate development in the UAE, health products, and legacy IVF services across Asia.
