Deep Fission prices IPO at $16 per share, raising $40 million
Deep Fission, Inc., a nuclear energy company developing small modular pressurized water reactors installed approximately one mile underground, has priced its initial public offering of 2,500,000 shares of common stock at $16.00 per share, for total gross proceeds of $40 million.
The company's common stock has been approved for listing on the Nasdaq Global Market under the ticker symbol NASDAQ: FISN, with trading expected to begin on June 18, 2026. The offering is anticipated to close on June 22, 2026, subject to customary closing conditions.
Deep Fission has also granted underwriters a 30-day option to purchase up to an additional 375,000 shares at the initial public offering price, less underwriting discounts and commissions.
The company said it intends to use net proceeds for general working capital and corporate purposes, including engineering, research and development, licensing, and construction of its first pilot nuclear reactor.
Benchmark, a StoneX Company, and Seaport Global Securities are acting as joint lead book-running managers, with Maxim Group LLC serving as co-manager for the offering.
Deep Fission is currently advancing its first reactor project in Parsons, Kansas, and has been selected for the U.S. Department of Energy's Reactor Pilot Program, according to the company's press release.
