Floor & Decor Holdings (FND) Prices 4.973M Share Secondary Offering by Ares Management (ARES) Affiliated Fund

Floor & Decor Holdings, Inc. (NYSE: FND) today announced the pricing of an underwritten public offering of 4,972,900 shares of common stock of the Company by certain stockholders of the Company, including funds affiliated with Ares Management Corporation (NYSE: ARES) and Freeman Spogli Management Co., L.P., as well as certain directors and officers of the Company, (collectively, the “Selling Stockholders”). The Company is not selling any shares in this offering and will not receive any proceeds from the sale of the shares by the Selling Stockholders. Morgan Stanley & Co. LLC is acting as the sole underwriter for the offering.

The underwriter intends to offer the shares of common stock from time to time for sale in one or more transactions on the New York Stock Exchange, in the over-the counter market, through negotiated transactions or otherwise at market prices prevailing at the time of sale, at prices related to prevailing market prices or at negotiated prices, subject to receipt and acceptance by it and subject to its right to reject any order in whole or in part. The offering is expected to close on May 22, 2020, subject to the satisfaction of customary closing conditions.
