(Nasdaq: PENN) 30% HIGHER; has entered into a definitive agreement to be acquired by certain funds managed by affiliates of Fortress Investment Group LLC (NYSE: FIG) and Centerbridge Partners LP in an all-cash transaction valued at approximately $8.9 billion, including the planned repayment of approximately $2.8 billion of Penn National's outstanding debt. $67 per share.
EpiCept Corporation (Nasdaq: EPCT) 28% HIGHER; announced the results of scientific studies that (1) demonstrate that Azixa is effective in treating multiple types of human tumors in animal models, (2) reveal a mechanism by which MPC-6827 exerts its effects, and (3) show that MPC-6827 is not affected by cellular proteins known to be involved in cancer drug resistance.
Coinmach Service (Amex: DRA) 15% HIGHER; entered into a definitive merger agreement with an affiliate of Babcock & Brown to be acquired for $13.55 per share.
Silverleaf Resorts, Inc. (Nasdaq: SVLF) 14% HIGHER; Raising its full-year net income guidance from $25.5 million to a range of $27.5 million to $28.5 million ($0.70 to $0.72 per fully diluted share).
Build-A-Bear Workshop, Inc. (NYSE: BBW) 12% LOWER; said that based on its net sales results for the ten week period ended June 9, 2007, it now expects earnings per diluted share for the second quarter (the 13 weeks ending June 30, 2007) to be in the range of $0.07 to $0.10. The company had previously said that it had expected to report second quarter earnings per diluted share of $0.15 to $0.19. (Consensus is $0.19). Based upon the revised second quarter guidance, the company now expects its full year earnings per diluted share to be in the range of $1.55 to $1.65. The company had previously provided guidance in a range of $1.65 to $1.75. (Consensus is $1.69)
Catalyst Semiconductor, Inc. (NASDAQ: CATS) 9% LOWER; reports a Q4 loss of $0.03 vs. consensus for $0.01 profit. Revenues were $18.4 million vs. $16.2 million consensus. (NOTE - only 1 analyst)
AXT Inc. (NASDAQ: AXTI) 8% HIGHER; First Albany starts at Buy
Winnebago Industries, Inc. (NYSE: WGO) 7% LOWER; reports Q3 EPS of $0.35 vs. consensus of $0.50. Revenues were $231.7 million vs. $255.87 million consensus.
NYMEX Holdings Inc. (NYSE: NMX) 6.2% HIGHER; According to reports from Bloomberg, NYMEX Holdings is exploring a sale to the NYSE Euronext (NYSE: NYX), Deutsche Boerse AG or Chicago Mercantile Exchange Holdings (NYSE: CME), citing people familiar with the matter. NYMEX Holdings could be worth $155 per share in a deal.

Hansen Natural (Nasdaq: HANS) 6% HIGHER; Goldman Sachs upgrades to Buy
Smith & Wesson (Nasdaq: SWHC) 5% HIGHER; reports Q4 EPS of $0.12, 2 cents better than estimates. Revenues were $82.6 million vs. $72.82 million consensus. SWHC is raising sales expectations for fiscal 2008 from $320 million to $330 million, which would represent a 40.5% increase over fiscal 2007 sales. (Consensus is $321.34 million). Net income for fiscal 2008 is anticipated to be $28.0 million, or $0.62 per diluted share, double the earnings per diluted share for fiscal 2007. (Consensus is $0.60)
Monsanto (NYSE: MON) 4.2% HIGHER; raised its fiscal year 2007 ongoing EPS guidance to $1.75 to $1.80 per share, versus the prior guidance of $1.60 to $1.65 per share on an ongoing basis. The consensus is $1.69. As a part of the increased expectations for the fiscal year, the company also reported that third-quarter results were expected to be approximately $1.00 per share on an ongoing and reported basis.
The consensus is $0.76.
Intel Corp. (Nasdaq: INTC) 2.5% HIGHER; Goldman Sachs upgrades to Buy
Adobe Systems (Nasdaq: ADBE) 1% LOWER; reports Q2 Non-GAAP EPS of $0.37 (GAAP EPS was $0.25) vs. consensus of $0.35. Revenues were $745.6 million vs. $729.33 million consensus.For the third quarter of fiscal 2007, Adobe announced it is targeting revenue of $760 million to $800 million. These targets lead to a GAAP earnings per share target range of approximately $0.28 to $0.31. On a non-GAAP basis, the Company is targeting earnings per share of approximately $0.39 to $0.41. (Consensus is $781.1 million and $0.40, respectively)
