On December 31, 2015, Unilife Corporation (the Company or we) entered into an exclusivity agreement (the Agreement) with Amgen Inc. (the Counterparty). The Agreement was entered into in connection with the previously announced review by the Company of potential strategic alternatives, including a strategic partnership with one or more parties or the licensing of some of the Companys proprietary technologies (a Potential Transaction).
