Computer Sciences (CSC) Ratings Place Under Review by Moody's Following Plans for Company Split

Moody's Investors Service ("Moody's") has placed the ratings of Computer Sciences (NYSE: CSC) under review for downgrade following CSC's announcement of its plan to divide into two separate, publicly traded companies, in a transaction which will effect a spin-off of its North American Public Sector ("NPS") business. The ratings placed under review include the Baa2 senior unsecured ratings.

Computer Sciences (CSC) Plans Split into Two, Publicly-Traded Companies

Computer Sciences (NYSE: CSC) announced that its Board of Directors has unanimously approved a plan to separate the company into two publicly traded, pure-play leaders: one to serve commercial and government clients globally and one to serve public sector clients in the U.S.

Concurrent with the separation, CSC intends to pay a special cash dividend to shareholders of $10.50 per share at closing, which is expected by October 2015.
