Raymond James analyst Robert Dodd downgraded MidCap Financial Investment Corp (NASDAQ: MFIC) from Outperform to Market Perform.
The analyst comments "We are downgrading MidCap Financial Investment Corporation (MFIC) to Market Perform from Outperform following the announcement of its proposed acquisition by Ares Capital Corporation (ARCC). We believe the stock reaction following the transaction announcement has largely captured the remaining upside on the stock. The proposed terms represented a ~30% premium to MFIC's closing share price on October 26, 2026, with shares trading up ~23% following the announcement, to $10.26/share. With the stock now trading relatively in line with the proposed transaction value, we believe the potential upside has already been realized, leaving limited room for further appreciation ahead of the expected acquisition closing. While we view the transaction favorably for MFIC shareholders, we believe the current valuation reflects the benefits of the acquisition, and we do not see catalysts for further upside from current levels. The offer: Under the proposed merger terms, MFIC shareholders will receive total consideration of $10.88 per share."
