Main Street Capital Corporation (NYSE: MAIN) has priced an underwritten public offering of $500 million in aggregate principal amount of 6.55% notes due January 15, 2030.
The notes will bear interest at 6.55% per year, payable semiannually, and may be redeemed in whole or in part at the company's option at any time at par plus a make-whole premium, if applicable. The offering is expected to close on October 29, 2026, subject to customary closing conditions.
Main Street said it intends to use the net proceeds to initially repay outstanding indebtedness, including amounts under its corporate revolving credit facility and its special purpose vehicle revolving credit facility. The company said it then plans to re-borrow under those credit facilities to make investments, pay operating expenses, and for general corporate purposes.
RBC Capital Markets, J.P. Morgan Securities, SMBC Nikko Securities America, and Truist Securities are acting as joint book-runners for the offering. Huntington Securities is serving as passive book-running manager. Several additional firms, including Raymond James & Associates and Fifth Third Securities, are acting as co-managers.
