SpaceX to acquire Grain Management's 800 MHz spectrum portfolio
Grain Management, LLC has signed a definitive agreement to sell its nationwide 800 MHz spectrum portfolio to SpaceX, according to a press release from Grain Management.
The transaction, subject to Federal Communications Commission (FCC) approval and other customary closing conditions, would transfer 100% of Grain's low-band spectrum holdings to SpaceX to support satellite direct-to-device services for Starlink Mobile.
Grain acquired the 800 MHz portfolio from T-Mobile in August 2026 in exchange for cash and Grain's 600 MHz spectrum. Following that acquisition, Grain pursued multiple use cases for the spectrum before reaching the agreement with SpaceX.
The deal aligns with a July 2026 FCC order that approved Grain's acquisition from T-Mobile and established a competitive selection process and a conditional pathway for direct-to-device deployment.

BDT & MSD Partners served as financial advisor to Grain Management. Milbank served as legal counsel, and Latham & Watkins served as regulatory counsel. Financial terms of the transaction were not disclosed.
