Lion Copper and Gold Corp. to rename and consolidate shares for Nasdaq bid
Lion Copper and Gold Corp. (CSE: LEO) (OTCQB: LCGMF) announced it will change its name to Lion Copper Corp. and consolidate its common shares at a ratio of 27 pre-consolidation shares to one post-consolidation share, with trading on the Canadian Securities Exchange set to begin under the new symbol "LCU" on September 14, 2026.
The share consolidation, approved by shareholders at the company's annual meeting on August 12, 2026, will reduce outstanding common shares from 431,332,099 to approximately 15,975,263. No fractional shares will be issued, with fractions of 0.5 or greater rounded up and fractions below 0.5 rounded down.
According to the company, the consolidation is being undertaken to support an application to list its shares on the Nasdaq Capital Market, specifically to meet Nasdaq's minimum bid price requirement of $4 per share. The company noted there is no assurance its listing application will be approved or that it will satisfy all required conditions.
The name change reflects the company's stated focus on copper assets, including a copper project in Yerington, Nevada. The new shares will carry CUSIP number 53621C101 and ISIN number CA53621C1014.
Registered shareholders holding physical certificates will receive a letter of transmittal from transfer agent Computershare Trust Company of Canada. No action is required from shareholders holding shares in book-entry form or through an intermediary. The effective date remains subject to CSE approval.
