Helix shareholders approve merger with Hornbeck Offshore Services

Helix Energy Solutions Group (NYSE: HLX) announced that its shareholders have voted to approve an all-stock combination with Hornbeck Offshore Services at a special shareholder meeting, with the transaction expected to close on September 1, 2026.

Upon completion, Hornbeck securityholders will own approximately 55% and Helix shareholders approximately 45% of the combined company on a fully diluted basis. The combined entity will operate under the name Hornbeck Offshore Services, Inc. and trade on the New York Stock Exchange under the ticker symbol "HOS."

Owen Kratz, President and Chief Executive Officer of Helix, said the combination "establishes an integrated offshore services company with enhanced scale, expanded capabilities and opportunities for growth across the deepwater energy, defense and renewables industries."

Todd M. Hornbeck, Chairman, President and Chief Executive Officer of Hornbeck, said the approval "marks an important milestone in bringing together two industry leaders."

Goldman Sachs & Co. LLC is serving as financial advisor to Helix, with Baker Botts L.L.P. as legal counsel. Barclays, Piper Sandler & Co. and J.P. Morgan are acting as financial advisors to Hornbeck, with Kirkland & Ellis LLP as its legal counsel. Final voting results will be filed on a Form 8-K with the U.S. Securities and Exchange Commission.
