Maison Solutions retires all convertible notes, ending dilution risk

Maison Solutions Inc. (NASDAQ: MSS), a specialty grocery retailer based in Monterey Park, California, announced that all outstanding obligations under its convertible notes have been paid, satisfied, or otherwise discharged.
The company stated that no convertible notes remain outstanding following the completion, ending what it described as conversion-related dilution associated with those instruments.
"Resolving our convertible note obligations is an important step in strengthening Maison Solutions," said John Xu, Chairman and Chief Executive Officer. "We recognize the impact that repeated conversions have had on our shareholders. With these instruments now fully resolved, no further dilution will result from these notes."
Xu added that management intends to avoid financing structures that could create similar levels of dilution or conversion pressure going forward, and will prioritize alternatives that it believes better align with the interests of long-term shareholders.
According to the company's press release, prior use of convertible debt financing carried a comparatively high cost of capital and resulted in dilution and market overhang for shareholders, driven by a combination of market conditions, liquidity requirements, and other circumstances.
Maison Solutions operates specialty grocery stores in Southern California and Arizona under the HK Good Fortune and Lee Lee International brands, serving primarily Asian American communities.
