Ensign Group updates bylaws ahead of 2027 annual meeting

The Ensign Group (NASDAQ: ENSG) announced that its Board of Directors adopted amended and restated bylaws on August 20, 2026, effective immediately upon approval.
The changes align the bylaws with developments in Delaware law and revise procedural requirements for stockholder nominations and proposals. Updates include clarifying the powers of the Board and meeting chair to regulate conduct, modifying disclosure requirements for stockholder nominations, and requiring director candidates to be available for interviews by Board members regarding their candidacy and qualifications.
The amended bylaws also modify the timeframe for stockholder notices to between 90 and 120 days prior to the anniversary of the preceding annual meeting. If an annual meeting is held more than 60 days after that anniversary, notices must be submitted no later than 90 days before the meeting date or by the tenth day following the first public disclosure of the meeting date, whichever is later.
For the company's 2027 annual meeting, stockholder nominations and proposals — excluding those submitted under Rule 14a-8 of the Securities Exchange Act of 1934 — must be received at the company's principal executive office no earlier than January 13, 2027, and no later than February 12, 2027.
