Hennessy VII shareholders approve merger with ONE Nuclear
Shareholders of Hennessy Capital Investment Corp. VII (NASDAQ: HVII), a special purpose acquisition company, voted on Aug. 24, 2026, to approve a business combination with ONE Nuclear Energy LLC, a developer of natural gas and advanced nuclear power generation projects.
Upon closing, Hennessy VII will domesticate as a Delaware corporation, ONE Nuclear will become its wholly-owned subsidiary, and the combined company will be renamed ONE Nuclear Energy Inc. Its common stock is expected to trade on a national securities exchange under the ticker symbol "ONEN."
The closing remains subject to customary conditions, including exchange listing approval. Hennessy VII filed a Form 8-K with the Securities and Exchange Commission on Aug. 24, 2026, disclosing the full voting results.
ONE Nuclear describes itself as a developer of utility-scale natural gas and advanced nuclear power generation intended to serve industrial and grid applications. The business combination agreement was originally dated Oct. 22, 2025.
