Maison Solutions gets Nasdaq notice over late 10-K filing

Maison Solutions Inc. (Nasdaq: MSS) disclosed that it received a notification letter from Nasdaq on August 20, 2026, stating the company is not in compliance with Nasdaq Listing Rule 5250(c)(1) due to its failure to timely file its Annual Report on Form 10-K for the fiscal year ended April 30, 2026.



The notification does not have an immediate effect on the listing of the company's Class A common stock, which continues to trade on the Nasdaq Capital Market under the ticker symbol "MSS."



Under Nasdaq listing rules, the company has 60 calendar days, until October 19, 2026, to submit a compliance plan to Nasdaq. If Nasdaq accepts the plan, the company may receive an extension of up to 180 calendar days from the original due date of the Form 10-K, extending the deadline to February 9, 2027. If Nasdaq does not accept the plan, the company may appeal to a Nasdaq Hearings Panel.



Maison Solutions is a specialty grocery retailer operating stores in Southern California and Arizona under the HK Good Fortune and Lee Lee International brands.
