ISS and Glass Lewis back Evogene board nominees ahead of AGM

Proxy advisory firms Institutional Shareholder Services (ISS) and Glass Lewis have recommended that shareholders of Evogene Ltd. (NASDAQ: EVGN) (TASE: EVGN) vote in favor of the company's slate of director nominees at its Annual General Meeting scheduled for September 4, 2026.
Both firms also recommended voting in favor of all other proposals on the meeting agenda. The recommendations come amid a contested board election in which dissident shareholders L.I.A. Pure Capital and Invest-Pro have put forward an opposing slate of nominees.
In its analysis released August 23, 2026, ISS stated that the dissident campaign aimed "to overhaul the board without articulating a compelling case for change or providing shareholders with enough information to adequately assess its plan."
Glass Lewis wrote that "the Dissidents have not presented a sufficiently compelling argument that supporting the Dissident Nominees would be likely to lead to a more favourable outcome for shareholders at this time." Glass Lewis also noted that Evogene's board has seen two new directors appointed since 2021, one of whom became board chair, and that management's slate includes two additional new director candidates.
Nir Nimrodi, Chairman of Evogene's Board of Directors, said the recommendations "reflect the strength of our strategy and the Board's disciplined execution towards greater shareholder value creation," adding that the changes proposed by the dissidents are "unnecessary and risk disrupting our momentum."
Evogene is an Israel-based company focused on computational chemistry and the generative design of small molecules for pharmaceutical and agricultural applications.
