BKV registers 5.3 million shares for resale tied to power JV deal

BKV Corporation (NYSE: BKV) announced that a Form S-3 resale registration statement filed with the U.S. Securities and Exchange Commission on August 20, 2026, has become effective, covering 5,315,390 shares of BKV common stock held by Banpu Power US Corporation (BPPUS).
The registration fulfills a contractual obligation under a Registration Rights Agreement entered into with BPPUS in connection with BKV's acquisition of an additional 25% interest in BKV-BPP Power LLC, which closed on January 30, 2026. As consideration for that transaction, BPPUS received approximately $115.1 million in cash and the 5,315,390 shares of BKV common stock. Those shares were subject to a 180-day lock-up period following the closing.
The registration statement became effective automatically upon filing and allows BPPUS to sell the registered shares from time to time. BKV stated that the shares are not required to be sold and that the filing does not necessarily indicate any intent by BPPUS to sell. BKV is not offering any shares under the registration statement and will not receive any proceeds from potential future sales by BPPUS.
BPPUS is a wholly owned subsidiary of Banpu Public Company Limited, which is the ultimate parent company of BKV and the majority stockholder through Banpu North America Corporation.
"The S-3 resale registration reflects the implementation of registration rights established when we completed the Power JV transaction earlier this year," said Chris Kalnin, BKV's Chief Executive Officer.
