Mosaic sets pricing for tender offers on up to $1.4B in debt

The Mosaic Company (NYSE: MOS) announced pricing terms for its cash tender offers to purchase four series of outstanding debt securities, with a total cap of $1.4 billion, according to a company press release dated Aug. 14, 2026.
The offers cover four series of notes in the following order of acceptance priority: 4.050% Senior Notes due 2027, with $700 million outstanding; 7.30% Debentures due 2028, with $147.1 million outstanding; 5.375% Senior Notes due 2028, with $400 million outstanding; and 4.350% Senior Notes due 2029, with $500 million outstanding.
Total consideration per $1,000 principal amount, determined as of 2:00 p.m. New York time on Aug. 14, 2026, is $996.82 for the 2027 Notes, $1,037.99 for the 2028 Debentures, $1,017.38 for the 2028 Notes, and $993.31 for the 2029 Notes. The 2029 Notes are subject to a separate $150 million series cap. Holders whose notes are accepted will also receive accrued and unpaid interest through the settlement date.
The expiration deadline for the offers is 5:00 p.m. New York time on Aug. 14, 2026, and the expected settlement date is Aug. 18, 2026.
Citigroup Global Markets Inc., BMO Capital Markets Corp., and U.S. Bancorp Investments, Inc. are serving as dealer managers for the offers. Global Bondholder Services Corporation is acting as tender and information agent.
