Aptevo Therapeutics raises $4.5M through warrant exercise and PIPE

Aptevo Therapeutics Inc. (NASDAQ: APVO), a clinical-stage biotechnology company, closed a warrant inducement transaction and a private placement on August 13, 2026, raising approximately $4.5 million in gross proceeds before placement agent fees and expenses.
In the warrant inducement transaction, certain holders of existing common warrants exercised their warrants in full for cash to purchase an aggregate of 254,922 shares of common stock at a reduced exercise price of $4.03 per share. In exchange, the company issued new unregistered inducement warrants to purchase up to 1,274,610 shares of common stock at the same $4.03 exercise price. These inducement warrants will become exercisable upon stockholder approval and expire five years from that date.
Separately, through a private placement, Aptevo sold up to 861,708 unregistered shares of common stock at $4.03 per share, along with common stock purchase warrants to purchase up to 4,308,540 shares at $4.03 per share. Purchasers subject to beneficial ownership limitations of 4.99% or 9.99% had the option to receive pre-funded warrants in lieu of shares.
Roth Capital Partners served as exclusive placement agent for both transactions. The company stated it intends to use net proceeds for working capital purposes. Aptevo has agreed to file a registration statement with the Securities and Exchange Commission covering the resale of shares issued in connection with these transactions.
