Rocky Mountain Chocolate Factory, Inc. (NASDAQ: RMCF) has disclosed that its Board of Directors is exploring strategic alternatives, which may include a sale, merger, other business combination, or a going-private transaction.
The disclosure follows statements made by the company's Interim Chief Executive Officer on August 11, 2026, during a meeting with employees and franchisees, in which the possibility of a sale was mentioned as part of the board's ongoing review.
According to the company, it has received expressions of interest from third parties in connection with this process. The company stated there is no assurance that the review will result in any transaction or strategic change.
The company added that it does not intend to provide further updates on the process unless the board approves a specific transaction or determines additional disclosure is required.
