Anavex faces proxy fight ahead of September annual meeting

Anavex Life Sciences Corp. (Nasdaq: AVXL) has filed a definitive proxy statement with the Securities and Exchange Commission ahead of its 2026 Annual Meeting of Stockholders, scheduled for September 24, 2026. Stockholders of record as of July 31, 2026 are eligible to vote.
The filing comes as PVG Asset Management Corporation, led by Patrick Adams, is seeking to place its own slate of six director nominees on the Anavex board. According to Anavex, PVG and Adams collectively own 0.35% of the company's outstanding common stock as of July 31, 2026.
Anavex is nominating six independent director candidates, including four current board members and two new nominees: Gautam Patel, a managing director at Tarsadia Investments, and Dr. Adrian Senderowicz, a former chief medical officer at clinical-stage companies. The company states that if its nominees are elected, half of the board will have been replaced since the start of 2026.
The company appointed Dr. Terrie Kellmeyer as interim CEO in April 2026 following the termination of its former chief executive. Kellmeyer previously served as the company's Senior Vice President of Clinical Development.
Anavex disclosed that it received a delinquency notification from Nasdaq on May 20, 2026, for failing to timely file its quarterly report for the period ended March 31, 2026. The company said the notice did not affect its listing status and that it has submitted a compliance plan to Nasdaq.
The company's lead drug candidate, oral blarcamesine (ANAVEX2-73), is being advanced across three central nervous system indications: early Alzheimer's disease, Rett syndrome, and Fragile X syndrome. An investigational new drug application for early Alzheimer's disease was opened with the FDA in March 2026, with two clinical pharmacology studies currently underway.
In its letter to stockholders, Anavex's board characterized PVG's nominee slate as lacking direct FDA regulatory or pharmaceutical drug development experience, stating only one of PVG's six nominees has a clinical medical background.
