Silver Lake to sell 12.5 million First Advantage shares in secondary offering

First Advantage Corporation (NASDAQ: FA) announced that investment funds affiliated with Silver Lake Group, L.L.C. plan to sell 12,500,000 shares of First Advantage common stock in an underwritten secondary offering, according to a press release issued Aug. 10, 2026.
First Advantage is not selling any shares in the offering and will not receive any proceeds. All proceeds will go to the selling stockholder, Silver Lake.
In connection with the offering, Silver Lake will distribute up to 4,200,000 shares of First Advantage common stock to its limited partners on or around the closing date. Those distributed shares are not subject to a lock-up agreement. Silver Lake has agreed to a 30-day lock-up on the remaining shares. No First Advantage directors or officers are subject to a lock-up in connection with this offering.
J.P. Morgan Securities LLC is acting as the sole underwriter. A registration statement on Form S-3 relating to the securities has been filed with the U.S. Securities and Exchange Commission and has become effective.
