VivoSim Labs regains Nasdaq compliance after cash infusion
VivoSim Labs, Inc. (Nasdaq: VIVS) announced it received notice from Nasdaq on August 4, 2026, that the company has regained compliance with Nasdaq Listing Rule 5550(b)(1), which requires a minimum stockholders' equity of $2.5 million.
The compliance was achieved following several financial events that occurred after the close of its fiscal year ended March 31, 2026. The company received a $5.0 million milestone payment from Eli Lilly and Company, along with $1.0 million in cash released from escrow on July 22, 2026, both tied to the company's prior sale of its FXR program to Eli Lilly.
On July 17, 2026, VivoSim completed a financing by issuing pre-funded warrants and common warrants at a combined purchase price of $0.85 per share, generating gross proceeds of $4.0 million and net proceeds of approximately $3.6 million.
As of August 3, 2026, the company reported cash on hand of approximately $10.1 million. The company noted these events were not reflected in its Form 10-K filed with the SEC on July 14, 2026, and will not appear in its upcoming Form 10-Q for the quarter ended June 30, 2026.
The company's share count rose significantly during the period. As of June 30, 2026, VivoSim had 3,194,295 shares of common stock outstanding. By August 3, 2026, that figure had grown to 13,390,789 shares, reflecting 9,896,718 shares issued between July 15 and July 31, 2026, upon exercise of certain warrants.
VivoSim also reiterated previously announced guidance projecting revenue growth of more than 500% for fiscal year 2027, citing progress in marketing contract research services to pharmaceutical companies. The financial information disclosed in the announcement is described as preliminary and unaudited.
