Korn Ferry (NYSE: KFY) has amended its purchase agreement for the acquisition of Auxey Holdco Limited, setting a target closing date of September 1, 2026, according to a regulatory filing.
The Delaware-based company entered into a Deed of Amendment on July 29, 2026, with Auxey Holdings (Lux) S.A.S., OMERS Administration Corporation, AMS Cayco Ltd., and certain other parties. The original Purchase and Sale Agreement was dated June 27, 2026.
Under the amended terms, the acquisition will proceed on September 1, 2026, provided all closing conditions are satisfied or waived by August 27, 2026. If conditions are not met by that date, the amendment becomes void and the original agreement's closing timeline governs the transaction.
Korn Ferry filed the amendment as Exhibit 2.1 to a Current Report on Form 8-K with the Securities and Exchange Commission.
