Kinder Morgan, Inc. (NYSE: KMI) entered into an underwriting agreement on July 28, 2026, to sell $1.75 billion in senior notes across two tranches.
The offering consists of $1.15 billion in 5.550% Senior Notes due August 1, 2036, and $600 million in 6.150% Senior Notes due August 1, 2056. Interest on both tranches will be payable semi-annually on February 1 and August 1 each year, beginning February 1, 2027, with interest accruing from August 6, 2026.
The underwriters include BofA Securities, CIBC World Markets, PNC Capital Markets, RBC Capital Markets, and Wells Fargo Securities. The notes were offered under a prospectus supplement filed with the Securities and Exchange Commission pursuant to a shelf registration statement on Form S-3 (File No. 333-275130).
The notes are guaranteed under a Cross Guarantee Agreement and will be issued pursuant to an indenture dated March 1, 2012, with U.S. Bank Trust Company, National Association serving as trustee. Kinder Morgan retains the option to redeem all or part of the notes at any time at applicable redemption prices.
