Paychex (NASDAQ: PAYX) said director Kara Wilson notified the company's board that she will not stand for re-election at the 2026 annual meeting of stockholders.
In response, the board said it will reduce its size from 11 to 10 directors, effective upon the expiration of Wilson's term at the annual meeting.
According to the company, Wilson's decision did not result from any disagreement with Paychex on matters relating to its operations, policies, or practices.
