EXL (NASDAQ: EXLS) announced the appointment of Bina Mehta to its board of directors as an independent director, effective July 16, 2026. The company also disclosed a lead independent director transition, according to a press release.
Mehta, who served as chair of KPMG UK from 2021 to 2026, joined KPMG in 1990 and has advised clients on mergers and acquisitions, restructuring, and transformation across the UK, India, the United States, and Canada. She will serve on EXL's audit committee and compensation and talent management committee.
Mehta was appointed to the UK government's AI Opportunity Forum in 2024 and was honored with a Member of the Order of the British Empire in 2022 for services in trade and investment. She also serves on the board of the International Chambers of Commerce UK and holds academic roles at the University of Cambridge's Judge Business School and Bayes Business School.
"She brings over three decades of experience spanning mergers and acquisitions, advisory and restructuring across four countries, and a deep understanding of what it takes to grow and lead a global business," said Rohit Kapoor, chairman and chief executive officer of EXL.
Separately, EXL announced that Sarah K. Williamson will assume the role of lead independent director by the end of 2026, succeeding Vikram Pandit, who has held the position since April 2024. Pandit will remain on the board as an independent director.
Williamson has served on the EXL board since June 2023. She is chief executive officer of FCLTGlobal, a not-for-profit organization. Her prior experience includes more than 20 years at Wellington Management, roles at McKinsey & Company, the U.S. Department of State, and Goldman Sachs.
