SES AI receives NYSE notice for falling below $1 minimum share price

SES AI Corporation (NYSE: SES) received a notice from the New York Stock Exchange on July 17, 2026, stating that the company is not in compliance with Section 802.01C of the NYSE Listed Company Manual.
The notice was triggered because the average closing price of SES AI's Class A common stock fell below $1.00 per share over 30 consecutive trading days, the minimum required to maintain continued listing on the NYSE.
According to the company's statement, SES AI has 10 business days from receipt of the notice to respond with its intent to cure the deficiency. The company has up to six months to regain compliance. It can do so if, on the last trading day of any calendar month during the cure period, its Class A common stock closes at or above $1.00 and maintains an average closing price of at least $1.00 over the preceding 30 trading days.
If the company chooses to cure the deficiency through a stockholder-approved action at its next annual meeting, the price condition will be considered cured if the share price promptly exceeds $1.00 and remains above that level for at least 30 subsequent trading days.
SES AI's Class A common stock will continue to be listed and traded on the NYSE during the cure period, provided the company remains compliant with other NYSE listing standards. The notice does not affect trading of the stock.
