Brookfield Wealth Solutions shareholders approve corporate restructure

Brookfield Wealth Solutions (NYSE: BNT) announced that shareholders approved a transaction to simplify its corporate structure at the company's annual general and special meeting held July 16, 2026.
Upon completion of the transaction, Brookfield Wealth Solutions Ltd. will be delisted, and Brookfield Corporation Ltd. will become the new parent entity of the group, listed on the TSX and NYSE under the ticker symbol "BN." The transaction is expected to close by year-end, subject to regulatory approvals and other customary closing conditions.
At the meeting, all five director nominees put forward by holders of class A exchangeable limited voting shares were elected. Michele Coleman Mayes and Lars Rodert each received 99.77% of votes in favor, Dr. Soonyoung Chang received 99.47%, Anne Schaumburg received 99.06%, and William Cox received 96.82%.
The holder of class B limited voting shares voted all 36,000 class B shares in favor of five additional director nominees: Barry Blattman, Gregory Morrison, Lori Pearson, Sachin Shah, and Michael McRaith. All five were elected.
