Glucotrack completes merger with Lōkahi Therapeutics, ceding control

Glucotrack, Inc. (NASDAQ: GCTK) announced the completion of its business combination with Lōkahi Therapeutics, with Lōkahi becoming the operating and controlling entity of the combined company, according to a press release dated July 16, 2026.

Under the terms of the transaction, Lōkahi Therapeutics securityholders received a combination of Glucotrack common stock and convertible preferred stock. Upon receipt of required stockholder approvals and satisfaction of applicable Nasdaq listing requirements, the preferred stock is expected to convert into common equity, giving Lōkahi Therapeutics securityholders approximately 90% of the combined company on a fully diluted basis, subject to transaction-related financing and customary adjustments.

Erik Emerson has been appointed Chief Executive Officer of the combined company. Paul Goode will serve as Chief Technical Officer of the combined company and Chief Executive Officer of the continuous blood glucose monitoring (CBGM) subsidiary.

Glucotrack's CBGM business will continue as a wholly owned subsidiary, with its operations, assets, and capital structure maintained separately. A planned private placement financing is intended to strengthen the combined company's capital position, with a portion of proceeds earmarked to support the CBGM subsidiary's continued development.
