Marvel Biosciences Corp. (TSXV: MRVL) (OTCQB: MBCOF) announced a non-brokered private placement offering of up to 20,000,000 units at $0.15 per unit, seeking gross proceeds of up to $3,000,000, according to a press release dated July 16, 2026.
The offering has a minimum of 10,000,000 units for gross proceeds of $1,500,000. Each unit consists of one common share and one warrant, with each warrant exercisable at $0.20 per share beginning 61 days after closing and expiring one year from the closing date. The warrants may be accelerated if the volume weighted average trading price of the common shares on the TSX Venture Exchange reaches at least $0.25 for five consecutive trading days.
The Calgary-based company said net proceeds are intended to fund a deposit for phase 1 clinical trials of its lead compound MB-204, along with general and administrative expenses and working capital.
The first closing tranche is expected on or about August 14, 2026, with the full offering expected to close within 45 days of the announcement date. Closing is subject to TSX Venture Exchange approval.
Finders involved in the offering will receive fees of up to 7% of gross proceeds raised from introduced investors, paid in cash, plus finder's warrants equal to 7% of units sold to introduced subscribers, exercisable at $0.20 per share on the same terms as the offering warrants.
The offering is being made to purchasers in Canadian provinces, excluding Quebec, and certain foreign jurisdictions under the listed issuer financing exemption. Units sold under this exemption will not be subject to a hold period under Canadian securities law. The securities have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption.
