Honeywell Aerospace launches $16B note exchange offer

Honeywell Aerospace Inc. (Nasdaq: HONA) commenced an exchange offer on July 13, 2026, to swap unregistered outstanding notes for new registered notes totaling up to $16 billion in aggregate principal amount across nine series.

The exchange covers the following series of new Senior Notes: $1.25 billion at 3.900% due 2028, $1.25 billion at 4.000% due 2029, $500 million in floating rate notes due 2029, $2 billion at 4.300% due 2031, $1.75 billion at 4.600% due 2033, $3.25 billion at 4.950% due 2036, $1 billion at 5.622% due 2046, $3.5 billion at 5.732% due 2056, and $1.5 billion at 5.852% due 2066.

The terms of the new registered notes are substantially identical to those of the outstanding unregistered notes, with the exception that transfer restrictions and registration rights applicable to the outstanding notes will not apply to the new notes.

The company said the exchange offer is intended to fulfill its obligations under a registration rights agreement entered into when the outstanding notes were originally issued. Honeywell Aerospace stated it will not receive any proceeds from the exchange.

The offer is set to expire at 5:00 p.m. New York City time on August 7, 2026, unless extended. Deutsche Bank Trust Company Americas is serving as exchange agent for the transaction.
