Intapp secures $150M revolving credit facility with UBS

Intapp, Inc. (NASDAQ: INTA) entered into a new credit agreement on July 7, 2026, establishing a five-year, senior secured revolving credit facility of $150.0 million, with UBS AG, Stamford Branch serving as administrative agent.
The new facility includes a subfacility for letters of credit of up to $10.0 million. The company may also seek additional revolving credit commitments of up to $75.0 million, with provisions for incremental commitments, including term loan commitments, beyond that amount under certain conditions.
Proceeds are designated for working capital and general corporate purposes, including acquisitions. As of the closing date, no amounts were outstanding under the new facility.
Concurrent with entering the new agreement, Intapp terminated its prior credit agreement dated October 5, 2021, which had been administered by JPMorgan Chase Bank, N.A.
Borrowings under the new facility will bear interest at either Term SOFR plus a spread of 1.50% to 2.25%, or an alternate base rate plus a spread of 0.50% to 1.25%, depending on the company's total net leverage ratio. An unused commitment fee ranging from 0.25% to 0.40% annually also applies.
The facility is secured by a first priority pledge of capital stock of each first-tier subsidiary and substantially all company assets, excluding real estate. It is guaranteed by Intapp's material wholly-owned domestic subsidiaries, though no foreign subsidiary is currently a guarantor.
The agreement includes a maximum consolidated total net leverage ratio covenant, along with customary affirmative, negative, and financial covenants, and standard events of default.
