Miles Everson resigns from Fermi board amid records dispute

Miles Everson resigned as a director of Fermi Inc. (NASDAQ: FRMI) on July 10, 2026, citing a disagreement over access to company books and records and the Board of Directors' decision to delegate oversight of certain financing transactions to a Finance Committee.
Everson, who served as a director designee of Toby Neugebauer, submitted a resignation letter to the Board effective immediately. At the time of his resignation, he did not serve on any Board committee.
The company stated that Everson was granted full access to its books and records, with the exception of materials related to pending litigation involving Neugebauer, on whose behalf Everson served as a Board representative. The company also noted that Everson had previously approved the Board's establishment of the Finance Committee and the delegation of financing oversight responsibilities to that committee.
