Three proxy advisory firms back Genesco's nine board nominees ahead of vote

Genesco Inc. (NYSE: GCO) announced that three independent proxy advisory firms — Institutional Shareholder Services, Glass Lewis & Co., and Egan-Jones Proxy Services — have each recommended shareholders vote in favor of all nine of the company's director nominees ahead of its 2026 Annual Meeting of Shareholders, scheduled for July 21, 2026.
The recommendations come amid a proxy contest initiated by Bradley Radoff, whom Genesco refers to as "the Dissident." In its July 9, 2026 report, Glass Lewis stated that Radoff "has not presented a comprehensive and compelling case for change or a novel, well-defined path tailored to credibly reasoned concerns." Glass Lewis also noted that Genesco "has more recently charted a reasonably favorable course" under current leadership, citing "stronger operational performance, improved investor returns and buoyed guidance."
Egan-Jones, also in a July 9, 2026 report, cited "recovering cash flow, modestly improving profitability, and early evidence of successful Journeys repositioning and store remodel performance" as reasons to maintain the current board composition. Egan-Jones also noted that the company's total shareholder return over the past year "demonstrates market optimism around the new strategy."
Genesco filed its definitive proxy statement with the Securities and Exchange Commission on June 15, 2026, in connection with the annual meeting. The company operates more than 1,200 retail stores under brands including Journeys, Schuh, Johnston & Murphy, and Little Burgundy across the U.S., Canada, and the U.K.
