Nightfood Holdings eyes 100,000 sq ft expansion with JJ Enterprise
Nightfood Holdings, Inc. (OTCQB: NGTF), doing business as TechForce Robotics, announced it is evaluating a manufacturing capacity expansion with Taiwan-based Jiun Jiang Enterprise Co., Ltd. ("JJ Enterprise") that could add up to approximately 100,000 square feet of production space across Taiwan and the United States.
The expansion is intended to support increasing order flow in semiconductor, advanced packaging, industrial automation, and logistics-related applications, according to a press release from the company.
The planned dual-region footprint is designed to address near-term manufacturing needs in Taiwan and longer-term U.S. production requirements. The company said the approach is intended to provide flexibility in managing output and supporting localized customer requirements.
"As customer demand continues to build, we believe it is important to begin laying the groundwork for the next phase of scale," said Jimmy Chan, Chief Executive Officer of Nightfood Holdings. "We are working closely with JJ Enterprise to evaluate additional capacity in both Taiwan and the United States so the platform is positioned to support larger production volumes, shorten delivery timelines, and better serve customers as new opportunities continue to emerge."
The company previously announced a non-binding letter of intent to acquire a 51% controlling interest in JJ Enterprise in an all-stock transaction. That deal remains subject to the negotiation of definitive agreements, due diligence, PCAOB-compliant audits, and other customary closing conditions.
The company noted that no assurance can be given that any specific facility expansion or related transaction will be completed on any particular timeline, or at all. Any expansion remains subject to ongoing evaluation, negotiations, capital planning, and other business considerations.
