Donerail urges Beazer Homes board to engage with DFH's $32 offer

The Donerail Group, which describes itself as one of the largest stockholders of Beazer Homes USA, Inc. (NYSE: BZH), issued an open letter to Beazer's board of directors urging it to engage with Dream Finders Homes, Inc.'s revised $32.00 per share all-cash acquisition proposal.
Dream Finders Homes submitted its revised offer on July 8, 2026, up from an initial $25.75 per share proposal made on May 5, 2026. Beazer's board had rejected the earlier offer on May 11, 2026, a decision Donerail said it supported at the time.
In the letter, dated July 9, 2026, Donerail Managing Partner Will Wyatt wrote that the revised offer represents an approximately 70% premium to Beazer's undisturbed share price of $18.77 and an approximately 56% premium to its undisturbed 30-day volume-weighted average price of $20.48, both as of May 8, 2026.
Donerail stated that Beazer has thus far declined to offer Dream Finders Homes a confidentiality and standstill arrangement that would allow private due diligence to proceed. The letter called on the board to provide diligence access to Dream Finders Homes and any other credible prospective acquirors, and to pursue a competitive process.
Donerail also noted that Beazer had previously disclosed a book value per share of $41.83, which it said had been a central reason cited for the board's reluctance to engage with earlier proposals. The letter argued that the revised offer price substantially reduces concerns about a discount to book value.
The letter suggested the board could consider extending its director nomination deadline by approximately three months to allow for a strategic review while preserving Dream Finders Homes' ability to nominate directors for Beazer's 2027 annual meeting.
Beazer separately disclosed on July 8, 2026, that it had received interest from additional parties regarding a range of potential transactions, according to the letter.
