Belgravia Hartford plans $500K private placement, names new CFO

Belgravia Hartford Capital Inc. (CSE: BLGV) (OTC: BLGVF) announced plans for a non-brokered private placement of up to 19,230,769 units at $0.026 per unit, seeking gross proceeds of up to $500,000.



Each unit consists of one common share and one-half common share purchase warrant. Each half warrant is exercisable for one year at $0.08 per common share. The securities will be subject to a four-month plus one day hold period from closing, pending approval from the Canadian Securities Exchange.



The company said net proceeds are intended for general corporate purposes, including investments in Bitcoin, Strategy Inc. (NASDAQ: MSTR) call options, BITX, technology development, and working capital. As of the announcement date, Belgravia holds approximately CAD$1,000,000 in its treasury, consisting of Bitcoin, BITX, and common shares of DELX.



Separately, the company appointed R. Duncan MacPherson as chief financial officer, a role he will hold concurrently at Gravitio.ai, Belgravia's wholly owned subsidiary. MacPherson founded a Toronto-based international tax practice in 2001 and previously held tax roles at GE Capital Canada. Tanya Anikshteyn was named associate controller. Former CFO Ande Le will remain as a consultant during the transition.
