GameStop stockholders approve share count increase to 2.5 billion

GameStop Corp. (NYSE: GME) stockholders approved an amendment to increase the company's authorized shares of Class A Common Stock to 2,500,000,000 at the company's 2026 Annual Meeting of Stockholders, held on July 7, 2026.

The amendment to GameStop's Third Amended and Restated Certificate of Incorporation passed with 231,693,497 votes in favor and 104,566,841 against. The amendment takes effect upon filing with the Secretary of State of Delaware.

Holders of 337,264,104 shares were present or represented by proxy at the meeting, representing approximately 75.17% of the 448,691,227 shares outstanding as of the May 20, 2026 record date.

Stockholders also elected five directors to serve until the next annual meeting. Ryan Cohen received the highest share of favorable votes among the nominees, with 244,771,847 votes for and 4,967,782 against. The remaining directors elected were Lawrence Cheng, James Grube, Nathaniel Turner, and Alain Attal.

Stockholders ratified the appointment of KPMG LLP as the company's independent registered public accounting firm for the fiscal year ending January 30, 2027, with 333,150,417 votes in favor. Executive compensation was approved on a non-binding, advisory basis with 242,391,322 votes for.

A previously disclosed proposal regarding a CEO performance award was withdrawn prior to the meeting and was not presented for a vote.
