FuelCell Energy launches $200M common stock offering

FuelCell Energy, Inc. (NASDAQ: FCEL) announced the launch of an underwritten public offering of $200 million in shares of common stock, with proceeds intended for manufacturing expansion, working capital, and general corporate purposes.
The Danbury, Connecticut-based company said it expects to grant underwriters a 30-day option to purchase up to an additional 15% of the shares sold at the public offering price, less underwriting discounts and commissions.
Citigroup and Barclays are acting as joint book-running managers for the offering. The company noted the offering is subject to market conditions and other factors, and there is no assurance as to whether or when it may be completed, or as to its final size or terms.
A shelf registration statement on Form S-3 relating to the securities became automatically effective with the Securities and Exchange Commission on June 8, 2026. Final terms will be disclosed in a prospectus supplement to be filed with the SEC.
