Rivian launches public offering of 75 million shares of common stock

Rivian Automotive (Nasdaq: RIVN) has commenced an underwritten public offering of 75 million shares of its common stock, according to a company statement.



The electric vehicle maker also expects to grant underwriters a 30-day option to purchase up to an additional 11.25 million shares at the public offering price, less underwriting discounts and commissions. All shares in the offering are to be sold by Rivian.



Rivian said it intends to use the net proceeds for general corporate purposes, including funding equity contributions under an Amended and Restated Loan Arrangement and Reimbursement and Sponsor Support Agreement with the U.S. Department of Energy.



Goldman Sachs & Co., Allen & Company, Barclays Capital, J.P. Morgan Securities, Morgan Stanley, and Wells Fargo Securities are serving as joint book-running managers for the offering.



The offering is being made under a shelf registration statement on Form S-3 that became automatically effective upon filing with the Securities and Exchange Commission on April 30, 2026. Rivian noted the offering is subject to market and other conditions, and there is no assurance as to whether or when it may be completed, or as to its final size or terms.
