Rogers to buy remaining 25% of MLSE from Kilmer for C$4.35B

Investing.com -- Rogers Communications has agreed to acquire the final 25% stake in Maple Leaf Sports & Entertainment from Kilmer Sports for C$4.35 billion, a transaction that implies a total MLSE enterprise value of C$17.4 billion and hands the Canadian telecom giant outright ownership of one of North America's most storied sports empires.



Rogers Communications Inc (NYSE: RCI) shares were indicated up 1.11% at $31.97 in pre-market trading ahead of Monday's open, suggesting investors are welcoming the deal despite the hefty price tag. That gain comes from a position of weakness: RCI's NYSE-listed shares closed at $31.62 on July 2, near their 52-week low of $31.38 and well below their 52-week high of $41.14.


MLSE is the parent company of four major professional franchises: the Toronto Maple Leafs (NHL), Toronto Raptors (NBA), Toronto FC (MLS), and the Toronto Marlies (AHL). By securing 100% ownership, Rogers removes the governance complexity that came with a multi-partner structure that previously included BCE Inc. alongside Kilmer Sports, a vehicle controlled by Toronto businessman Larry Tanenbaum.


The transaction is subject to approval from the NHL, NBA, and MLS and is expected to close in Q4 2026, according to Rogers. Once complete, Rogers has indicated it would be free to merge MLSE with its other sports assets, including Major League Baseball's Toronto Blue Jays, creating a consolidated Canadian sports and media powerhouse spanning hockey, basketball, soccer, and baseball under a single corporate roof.


The scale of the deal is striking in relation to Rogers' own market footprint. The C$17.4 billion MLSE valuation represents roughly 71% of Rogers' entire equity market capitalization of approximately C$24.48 billion, based on the Toronto Stock Exchange-listed Class B shares (TSX: RCIb), which last traded at C$45.08 on July 3, well below their 52-week high of C$56.27. The voting Class A shares (TSX: RCIa) last changed hands at C$46.24.


Financing details for the C$4.35 billion payment have not yet been disclosed by Rogers, and league approval timelines for the NHL, NBA, and MLS review processes have also not been specified.


The critical near-term milestone is regulatory clearance from all three sports leagues, with a Q4 2026 closing target. If confirmed on schedule, a post-close merger of MLSE with the Toronto Blue Jays would represent one of the most ambitious consolidations in Canadian sports history, and the structure and any MLB consent process for that combination remain to be detailed.
