July 6, 2026 5:11 AM EDT

Azul S.A. (NYSE American: AZUL), a Brazilian airline, has received approval to list its American Depositary Shares on the New York Stock Exchange, with trading expected to begin under the ticker symbol "AZUL" on July 9, 2026.

The company will voluntarily delist from NYSE American in connection with the transfer. Azul has delivered written notice to NYSE American of its intent to withdraw and plans to file a Form 25 application with the Securities and Exchange Commission no earlier than July 16, 2026. The Form 25 will become effective 10 calendar days after filing, and the company said it will ensure the delisting does not take effect before the NYSE listing is completed.

Each ADS represents two common shares of the company. Azul's common shares will continue to trade on B3 S.A. – Brasil, Bolsa, Balcão under the ticker symbol "AZUL3." Existing shareholders are not required to take any action in connection with the transfer.

CEO John Rodgerson said in a statement that the NYSE listing follows a restructuring and is expected to expand access to institutional investors and increase visibility in the global investment community.
