Veru sets up $21.8M at-the-market stock offering

Veru Inc. (NASDAQ: VERU) entered into a sales agreement on July 2, 2026, with Oppenheimer & Co. Inc. and Canaccord Genuity LLC to sell up to $21.8 million in shares of common stock through an at-the-market offering.
Under the agreement, Veru may issue and sell shares of its common stock, par value $0.01 per share, from time to time through either sales agent. The company is not obligated to sell any shares under the agreement.
The offering is registered under a Form S-3 registration statement that became effective on April 15, 2026, with a related prospectus supplement filed with the Securities and Exchange Commission on July 2, 2026.
Veru will pay a commission of 3.0% of gross proceeds from each sale to the designated sales agent. The company has also agreed to reimburse the sales agents for certain expenses and to provide customary indemnification rights.
Sales will be conducted based on Veru's instructions, including any price, time, or size limits the company specifies, consistent with each agent's normal trading and sales practices.
