Hims & Hers units enter $400M receivables deal with JPMorgan

Subsidiaries of Hims & Hers Health, Inc. (NYSE: HIMS) entered into a receivables purchase agreement with JPMorgan Chase Bank, N.A. on July 1, 2026, according to a regulatory filing.
XeCare LLC and Apostrophe Pharmacy LLC, both subsidiaries of Hims & Hers, signed a Master Receivables Purchase Agreement that allows them to sell eligible receivables to JPMorgan Chase for cash, at a value equal to the receivable balance minus an applicable purchase discount. JPMorgan Chase retains sole discretion to decline any offered receivables.
The agreement carries a $400 million facility limit and an initial term of 364 days. It may be extended an indefinite number of times by written agreement of both parties, with each extension lasting up to one year. The agreement includes standard covenants, representations and warranties, and default and termination provisions.
Hims & Hers issued a Performance Undertaking in favor of JPMorgan Chase, guaranteeing its subsidiaries' performance of obligations under the agreement. The company specified it is not guaranteeing the collectability of the receivables or the creditworthiness of the subsidiaries.
Separately, on June 26, 2026, Hims & Hers amended its existing Revolving Credit and Guaranty Agreement, originally dated February 18, 2025, also with JPMorgan Chase as administrative and collateral agent. The amendment permits the company and its subsidiaries to enter into the receivables agreement and adds a new basket under the credit agreement's permitted indebtedness covenant, allowing up to $400 million in related indebtedness. The amendment also updates permitted lien and collateral provisions, while leaving interest terms, fees, and other covenants unchanged.
