Eos Energy updates terms for rights offering at $5.481 per unit

Eos Energy Enterprises, Inc. (NASDAQ: EOSE) announced updated terms for a rights offering intended to fund its previously announced capital contribution to the Frontier Power USA joint venture, according to a press release dated June 30, 2026.

The company plans to distribute subscription rights to holders of its common stock and holders of warrants issued on April 14, 2023, May 17, 2023, December 19, 2023, and November 21, 2025. The record date for the distribution is set for July 1, 2026, at 5:00 p.m. New York time, with the distribution date on July 2, 2026.

Each right is expected to entitle an eligible holder to purchase approximately 0.0714 of a unit at a subscription price of $5.481 per whole unit, which represents an approximate 10% discount to the closing price of Eos Energy's common stock on June 29, 2026. Each unit consists of one share of common stock and 0.4388 of a warrant, with each whole warrant carrying an exercise price of $5.481 per share.

The offering includes an over-subscription privilege, allowing eligible holders who exercise their basic subscription rights in full to purchase additional units that remain unsubscribed at the offering's expiration, subject to certain restrictions.

The rights offering will be conducted under the company's existing shelf registration statement on Form S-3 filed with the Securities and Exchange Commission, along with a prospectus supplement to be filed prior to the offering's commencement. The company noted that completion of the offering remains subject to certain conditions, and it reserves the right to amend or terminate the offering before its expiration date.
