Definium Therapeutics raises $805M in upsized public offering

Definium Therapeutics, Inc. (Nasdaq: DFTX) closed an underwritten public offering of 23,676,471 common shares at $34.00 per share on June 25, 2026, generating gross proceeds of $805 million before deducting underwriting discounts, commissions, and other expenses.



The share count includes the full exercise by underwriters of their option to purchase 3,088,235 additional shares. All shares were offered by the company.



According to a press release, Definium plans to use the net proceeds for research and development of its product candidates, preparation for potential commercialization of DT120 ODT if approved, and working capital and general corporate purposes.



J.P. Morgan, Jefferies, Leerink Partners, and BofA Securities served as joint lead bookrunners. Evercore ISI and Stifel acted as bookrunners, while Oppenheimer & Co. and LifeSci Capital served as co-lead managers.



The offering was made pursuant to a shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on June 28, 2024.
