Triller Group acquires SPCX-linked treasury position after reverse split

Triller Group Inc. (NASDAQ: ILLR) announced it has entered into a transaction to acquire a position linked to SPCX, providing economic exposure to SpaceX through an established fund structure, to be held through a wholly owned subsidiary as a strategic treasury asset with financing secured by the underlying position.

The announcement came alongside a shareholder letter from Group Chief Executive Officer Wing-Fai Ng, who addressed investor concerns following the company's recent share consolidation. Ng stated the reverse split "changes arithmetic" but does not alter the company's assets or strategy, and directed shareholders to focus on market capitalization and balance-sheet strength.

The company described the SPCX-linked acquisition as the first step in a broader recapitalization strategy, for which shareholders previously granted capital-raising approval. Additional recapitalization initiatives are described as underway, with no further details provided.

Triller Group's operating assets include the Triller social media app, which the company claims has more than 327 million consumer accounts, combat sports property BKFC under Eight Sports Capital, and AGBA Group, a Hong Kong-based financial services platform. The company also referenced an undisclosed internal initiative called "Project Eight," described as a proposed strategic transaction for its social and creator platform, noting it has not been completed or publicly announced and remains subject to definitive agreements and applicable approvals.

Ng acknowledged the company had faced legacy issues including delayed SEC filings and Nasdaq compliance pressure, stating those matters have been resolved. Triller Group filed a Form 8-K with the SEC detailing the SPCX-linked transaction structure and associated risks.
